Terms of Use

1. Acceptance of Terms

By downloading, installing, or using Spacie ("the App"), you agree to be bound by these Terms of Use ("Terms"). These Terms constitute a legal agreement between you and Spacie ("we," "our," or "us") — not between you and Apple Inc. ("Apple"). We, not Apple, are solely responsible for the App and its content.

If you do not agree to these Terms, do not use the App. We may update these Terms from time to time. Continued use of Spacie after changes constitutes acceptance of the updated Terms. Material changes will be communicated via email at least 14 days in advance.

2. Description of Service

Spacie is a macOS application that converts speech to text using on-device processing. The App captures audio from your microphone, transcribes it locally using the Whisper speech recognition model, optionally formats the output using a local language model, and pastes the result into your active application.

All audio recording, transcription, and text formatting occur entirely on your device. Spacie does not transmit audio or transcription content to any server.

3. License and Restrictions

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the App on any Apple-branded device that you own or control, as permitted by the Usage Rules set forth in the Apple Media Services Terms and Conditions.

This license does not allow you to use the App on any device that you do not own or control, and you may not distribute or make the App available over a network where it could be used by multiple devices at the same time.

You agree not to:

• Reverse engineer, decompile, or disassemble the App or its bundled models
• Redistribute, sublicense, or resell the App or any of its components
• Use the App to generate content that violates applicable laws or infringes on third-party rights
• Circumvent or manipulate usage limits, licensing, or authentication mechanisms
• Use automated tools to abuse the service, overwhelm infrastructure, or exploit vulnerabilities

4. Account Registration

Creating an account is optional. Spacie's core functionality works without an account. However, an account is required to:

• Sync format templates across devices
• Subscribe to Spacie Pro
• Access usage history

Accounts are created via Sign in with Apple. You are responsible for maintaining the security of your Apple ID credentials. You must provide accurate information and promptly update it if it changes.

5. Free and Pro Tiers

Spacie offers two tiers:

• Free — Up to 25 transcriptions per day. Includes on-device transcription, basic formatting, and system-wide text insertion. Free forever, no account required.
• Pro — Unlimited transcriptions, custom format templates, priority model downloads, and cloud sync. Requires an account and active subscription.

We reserve the right to modify the features or limits of either tier. Material changes to the Free tier will be communicated with at least 30 days' notice.

6. Subscription and Billing

Spacie Pro subscriptions may be purchased through the Apple App Store or through our website via Stripe. The billing terms depend on your purchase method:

App Store Purchases

• Payment is charged to your Apple ID account at confirmation of purchase.
• Subscriptions automatically renew unless auto-renew is turned off at least 24 hours before the end of the current billing period.
• You can manage and cancel subscriptions in your Apple ID account settings.
• Refunds for App Store purchases are handled by Apple in accordance with their refund policy.

Website Purchases (Stripe)

• Your subscription automatically renews at the end of each billing period unless you cancel before the renewal date.
• You may cancel at any time through the Stripe customer portal accessible from the Spacie app or at spacie.com. Cancellation takes effect at the end of the current billing period.
• Refunds are handled on a case-by-case basis. Contact support@spacie.com for refund requests.

We may change subscription pricing with at least 30 days' notice. Price changes apply at the next renewal after the notice period.

7. Intellectual Property

The Spacie application, including its source code, design, branding, and documentation, is the intellectual property of Spacie and is protected by copyright and other intellectual property laws.

Your content: You retain full ownership of all text generated through Spacie. We make no claim to your transcriptions, formatted output, or any content you create using the App.

In the event of any third-party claim that the App or your possession and use of the App infringes a third party's intellectual property rights, we, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such claim.

8. Privacy

Your use of Spacie is also governed by our Privacy Policy, which describes what data we collect, how we use it, and your rights. By using Spacie, you consent to the practices described in the Privacy Policy.

9. Maintenance and Support

We are solely responsible for providing maintenance and support for the App. Apple has no obligation to provide any maintenance or support services with respect to the App.

10. Disclaimers and Warranty

Spacie is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the App will be uninterrupted, error-free, or free of harmful components. Transcription accuracy depends on audio quality, language, accent, and other factors outside our control.

You are solely responsible for reviewing and verifying any text output before using it in professional, legal, medical, or other high-stakes contexts.

In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the App. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the App, and any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty will be our sole responsibility.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Spacie and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of or related to your use of or inability to use the App.

Our total aggregate liability for any claims arising from or related to these Terms or the App shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

12. Product Claims

We, not Apple, are responsible for addressing any claims you or any third party may have relating to the App or your possession and use of the App, including but not limited to: (a) product liability claims; (b) any claim that the App fails to conform to any applicable legal or regulatory requirement; and (c) claims arising under consumer protection, privacy, or similar legislation.

13. Legal Compliance

You represent and warrant that: (a) you are not located in a country that is subject to a U.S. Government embargo or that has been designated by the U.S. Government as a "terrorist supporting" country; and (b) you are not listed on any U.S. Government list of prohibited or restricted parties.

14. Termination

You may stop using Spacie at any time by uninstalling the App and, if applicable, canceling your subscription and deleting your account.

We may suspend or terminate your access to Spacie at any time if you violate these Terms or engage in conduct that we reasonably believe is harmful to other users, our infrastructure, or our reputation. We will make reasonable efforts to notify you before termination, except where immediate action is required to prevent harm.

Upon termination, your license to use the App is revoked. Sections that by their nature should survive termination (including Disclaimers, Limitation of Liability, and Governing Law) will continue to apply.

15. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Delaware.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

17. Third-Party Beneficiary

You acknowledge and agree that Apple, and Apple's subsidiaries, are third-party beneficiaries of these Terms, and that upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary thereof.
